Terms Of Service
Last Updated: July 27, 2026
1. Acceptance Of Terms
This section outlines the agreement formed when you use our site or services.
- By accessing, browsing, or using golifet.ca, or by formally engaging LiFet for development work, the visitor or client explicitly agrees to be bound by these Terms of Service in their entirety.
- These terms do not exist in isolation; they work actively alongside and incorporate by reference our published Privacy Policy, Cookie Policy, Refund and Cancellation Policy, and Acceptable Use Policy.
2. Description Of Services
This section describes the nature of the professional services we offer.
- LiFet provides premium, custom software and application development services across a range of specialized categories, including AI Development, App Development, Software Development, Product Design, and comprehensive Solutions packages.
- Because every build is unique, the specific project scope, technical deliverables, and exact timelines are defined individually and exclusively within the written agreement generated for each real client engagement.
3. Eligibility
This section establishes who is permitted to engage our services.
- Any person engaging LiFet for professional services must be of legal age in their jurisdiction of residence and must possess the formal authority to enter into binding contracts on behalf of themselves or the business entity they represent.
4. Project Engagement Process
This section outlines how a typical development project is initiated.
- To ensure alignment and mitigate risk, every single custom development project we undertake begins with a real, intensive discovery phase before any actual development or coding begins.
- Following discovery, the full technical scope, all expected deliverables, and the exact acceptance criteria are locked in writing and must be formally approved by the client before the build officially commences.
5. Payment Terms
This section details our standard financial structure for custom builds.
- LiFet utilizes a real, milestone-based payment structure to ensure fairness: 40% of the total project cost is collected at project start, 30% at a defined mid-build checkpoint, and the final 30% upon final delivery of the completed software.
- To maintain consistency, all payments and any approved refunds are processed in the exact currency in which the original invoice or transaction was generated, and are not restricted to any single currency.
- Full, comprehensive detail regarding our refund rules, cancellation procedures, and milestone non-refundability is covered in our separate Refund and Cancellation Policy, which governs all financial disputes.
6. Ownership And Intellectual Property
This section explains how intellectual property rights are handled.
- In a standard engagement, full and unencumbered intellectual property ownership of the custom code and final deliverables transfers entirely to the client only upon the successful clearance of the final milestone payment.
- Any work in progress, draft code, or incomplete assets generated before that final payment is received remain the exclusive intellectual property of LiFet until the financial terms of the engagement are fully satisfied.
- It is also expressly stated that all content, visual design, marketing copy, and branding present on the golifet.ca website itself remains the exclusive property of LiFet Media, entirely separate from any client deliverables.
7. Change Orders
This section explains the process for modifying a locked project scope.
- Because our process relies on a fixed scope, any additional work, feature additions, or modifications requested outside the originally locked project scope constitute a real change order, which requires a defined trigger and is scoped and billed entirely separately from the main project.
8. Client Responsibilities
This section outlines the obligations of the client during an active build.
- The momentum of a custom software build relies heavily on collaboration; therefore, the client is strictly responsible for providing accurate business information, required third-party assets, and timely feedback during all phases of the project.
- Our 21-day standard build timeline assumes the client is highly responsive throughout the project lifecycle, providing requested information, design feedback, and necessary assets promptly when asked by our team.
- Any delays directly caused by the client's own lack of responsiveness are not attributable to LiFet, will naturally extend the project timeline, and are not grounds for a refund, as described further in the Refund and Cancellation Policy.
- Furthermore, we must note that individual projects can vary significantly in technical complexity, and some builds may genuinely require longer than the 21-day standard to deliver; the client will always be informed of this adjusted timeline in advance during the discovery phase.
9. Warranties And Disclaimers
This section clarifies the guarantees we make regarding our work.
- LiFet warrants that we will provide professional development services exactly as described and defined in each real, individually agreed-upon project scope document signed by both parties.
- However, we must explicitly state that LiFet does not and cannot guarantee any specific business outcome, future revenue result, or guaranteed user adoption level stemming from the launch of a delivered software project.
10. Limitation Of Liability
This section establishes the financial limits of our liability.
- In the event of a dispute, LiFet's total, aggregate liability for any claim related to its services, whether in contract or tort, is strictly limited to the total amount actually paid by the client to LiFet for the specific project in question.
11. Confidentiality
This section outlines our commitment to protecting your business secrets.
- We understand the sensitive nature of custom software; LiFet treats all real client project information, proprietary business models, and internal details as strictly confidential, ensuring they are not shared outside the scope of delivering the project.
12. Termination
This section references the rules governing project termination.
- The formal termination or mid-build cancellation of any active project is governed entirely by the rules and procedures detailed in our published Refund and Cancellation Policy.
13. Acceptable Use
This section references the rules governing the use of our public website.
- Your access to and use of the golifet.ca website, including its interactive forms and calculators, is governed strictly by our published Acceptable Use Policy.
14. Third-Party Services
This section discloses the external services that support our operations.
- To operate effectively, our site may use Supabase for backend infrastructure, reputationhub.site for review display, and once activated, Google Analytics, Google Tag Manager, Google Ads, Meta, LinkedIn, and TikTok for marketing, exactly as described in our Cookie Policy.
15. Governing Law
This section establishes the legal jurisdiction for these terms.
- These Terms of Service, and any separate project agreements entered into with LiFet, are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
16. Dispute Resolution
This section outlines the preferred method for resolving disagreements.
- We value our client relationships; therefore, any disagreement or dispute should be raised directly with the LiFet team first, allowing us a reasonable opportunity to resolve the matter amicably before any formal or legal dispute process is initiated.
17. Force Majeure
This section covers unforeseen events outside our control.
- Neither LiFet nor the client shall be held liable for any delays or failures in performance that are caused by extraordinary events or circumstances genuinely outside their reasonable control.
18. Entire Agreement
This section confirms the completeness of our legal agreements.
- These Terms of Service, together with any signed, individual project agreement and our other published legal policies, represent the entire, complete agreement between LiFet and the client for that specific engagement.
19. Severability
This section ensures the survival of the agreement if one part fails.
- If any specific provision or part of these terms is found by a court of competent jurisdiction to be invalid or unenforceable, all remaining terms and provisions shall continue to apply in full force and effect.
20. Changes To These Terms
This section explains how these terms may be updated over time.
- LiFet expressly reserves the right to review, amend, or update these Terms of Service at any time to reflect changes in our business practices or legal obligations.
- Whenever an update occurs, the "Last Updated" date displayed prominently at the top of this document will be revised to reflect the exact date of the most recent modification.
- Your continued use of our website or your continued engagement with our services following the publication of any changes constitutes your formal acceptance of the newly revised terms.
